By accessing or using Numco AI’s website, services, and tools (collectively, the "Services"), you ("Client," "you") agree to these Terms and any Service Agreement. We may update these Terms at any time—continued use after posting indicates your acceptance of the updated Terms.
Usage Rights & Client Data
Numco AI grants you a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes.
You retain ownership of all data you upload ("Client Data").
You grant Numco AI a worldwide, royalty-free license to process, copy, and display your data as needed to provide the Services.
Any enhancements, business insights, or AI-generated outputs derived from processing your data remain the intellectual property of Numco AI.
Numco AI Ownership of Technology
All software, content, designs, algorithms, trademarks, and other intellectual property rights related to the Services are owned by Numco AI. You may not replicate, distribute, modify, reverse-engineer, or use them beyond the scope granted here.
Client Responsibilities and Warranties
By using our Services, you represent that:
Your submitted information is accurate and updated as needed.
You are using the Services lawfully and not via automated or unauthorized means.
You have obtained necessary consents for any third-party data you process (e.g., marketing contacts under GDPR/TCPSA or similar).
Account & Credentials
If required, you must register and maintain the security of your account credentials. You’re responsible for all activity under your account. Numco AI reserves the right to reclaim or change inappropriate or offensive usernames.
Confidentiality
Both you and Numco AI may exchange confidential information. Each party agrees to:
Use reasonable care (at least a commercially reasonable standard) to protect such information.
Use it only to fulfill obligations under these Terms.
Refrain from unauthorized sharing, except to personnel who need it to perform under these Terms or when legally required. This obligation lasts for three years from disclosure.
Permitted Use & Prohibited Activity
You agree not to:
Use the Services unlawfully or to harm others.
Upload malicious code (viruses, malware).
Scrape, spam, or burden our platform with automated systems.
Impersonate others or interfere with its operation.
Circumvent restrictions or reverse-engineer our technology.
Use our Services to compete directly with Numco AI.
Warranty & Disclaimer
We warrant that the Services will comply with applicable laws and be free of malicious code. Otherwise, Services are provided “as-is” without warranties, including implied warranties of merchantability or fitness for a particular purpose.
Submissions
Any feedback you submit—like ideas, suggestions, or comments—becomes Numco AI’s property, free of charge, and may be used commercially without acknowledgment or compensation.
Privacy & Data Transfer
Numco AI’s Privacy Policy is integrated into these Terms. We process data in compliance with GDPR. As a Denmark/EU-based company, your data is processed within the EU (or with equivalent safeguards). Review the Privacy Policy for detailed information.
Termination
Numco AI may suspend or terminate your access at any time, for any reason, without notice or liability. If terminated, you may not register again under different credentials. We may also delete your data, subject to legal retention obligations.
Service Changes or Interruptions
We may modify or discontinue Services at our discretion. We are not liable for any losses due to service interruptions or changes, including maintenance downtimes.
Limitation of Liability
To the maximum extent allowed by law, Numco AI is not liable for indirect, special, incidental, or consequential damages (e.g., lost profits or data). Our liability is capped at the fees you paid us in the 6 months prior to any claim.
Indemnification
You agree to indemnify Numco AI from claims arising due to your misuse of our Services or violation of these Terms. We will do the same regarding our intellectual property breaches, provided you notify and cooperate with us.
Governing Law & Dispute Resolution
These Terms are governed by Danish law. Any disputes will be resolved in the courts of Denmark. Prior to suing, both parties agree to attempt informal negotiation for 30 days.
Severability & Miscellaneous
If any provision is invalid or unenforceable, the rest remain in effect. These Terms represent the entire agreement between parties. No partnership or agency is created by these Terms. Numco AI may assign rights and obligations as needed.
